1. Acceptance of Terms

These Terms of Service (“Terms”) are a legal agreement between you (“Client,” “you,” or “your”) and Epic AI Systems LLC (“Epic AI Systems,” “we,” “us,” or “our”), a software development company specializing in AI-powered automated solutions and software outsourcing. By accessing or using any of our services, software, or platforms (collectively, the “Services”), you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

2. Scope of Services

Epic AI Systems provides software development, AI implementation, and related consulting services. In some cases, we may engage third-party partners or subcontractors to deliver part or all of a project. The specific scope, deliverables, and timelines for each engagement will be outlined in a separate Statement of Work (SOW) or similar agreement.

3. Eligibility & Account Registration

• You must be at least 18 years old and have the authority to enter into contracts on behalf of your organization.
• Some Services may require you to register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
  

4. User Conduct & Acceptable Use

• You agree to use our Services only for lawful purposes and in compliance with all applicable laws.
• You will not:
  • Use the Services to engage in illegal, fraudulent, or harmful activities;
  • Infringe on the intellectual property or other rights of any party;
  • Transmit viruses, malware, or other malicious code;
  • Attempt to gain unauthorized access to any systems or networks related to our Services.

5. Payment Terms

Fees, payment schedules, and invoicing procedures for each project will be specified in the applicable SOW or agreement. Unless otherwise stated, all payments are due within 30 days of invoice. Late payments may incur interest or suspension of Services.

6. Intellectual Property

Unless otherwise agreed in writing, all intellectual property rights in software, models, documentation, and other deliverables developed by Epic AI Systems in the course of providing Services will be owned by Epic AI Systems until full payment is received. Upon full payment, ownership or license rights will be transferred as specified in the SOW.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the course of the engagement. Confidentiality obligations will survive the termination of these Terms.

8. Data Protection & Privacy

Epic AI Systems will implement reasonable security measures to protect your data. You are responsible for ensuring that you have the right to provide any data or content to us for processing. Please review our Privacy Policy for more information.

9. Outsourced Development

Epic AI Systems may subcontract or outsource portions of the Services to qualified third parties. We remain responsible for the quality and delivery of all Services performed by our subcontractors.

10. Warranties & Disclaimers

Our Services are provided “as is” and “as available.” Epic AI Systems makes no warranties, express or implied, regarding the performance, reliability, or suitability of the Services for your particular needs. We do not guarantee that our Services will be error-free, uninterrupted, or secure.

11. Limitation of Liability

To the fullest extent permitted by law, Epic AI Systems will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Services. Our total liability for any claim relating to the Services will not exceed the fees paid by you for the specific Services giving rise to the claim.

12. Term & Termination

• These Terms remain in effect until terminated by either party.
• Either party may terminate the agreement for material breach with written notice if the breach is not cured within 30 days.
• Upon termination, you must cease use of all Epic AI Systems Services and return or destroy any confidential information as instructed.

13. Changes to Terms

Epic AI Systems reserves the right to update or modify these Terms at any time. Changes will be effective upon posting to our website or other notification. Continued use of the Services after changes constitutes acceptance of the updated Terms.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of [Your State], United States, without regard to conflict of law principles. Any disputes will be resolved through good faith negotiation, and if necessary, binding arbitration in [Your State].
